An investment in Fund I involves significant risk, including the risk of total loss of invested capital. Only investors who can bear the economic risk of a long-term, illiquid investment should consider subscribing.
Limited partner interests are not registered under the Securities Act and are not freely transferable. There is no secondary market for LP interests. Distributions will depend on the timing and success of the Fund’s investments and will be subject to reserves and lender covenants.
Fund I is concentrated in Hilton, Marriott, and other branded flag limited-service hotels in a limited number of MSAs. A brand, flag, or MSA-specific shock could disproportionately impact the portfolio. The Fund does not intend to diversify across asset classes, brands, or geographies.
Value creation depends on successful execution of the Allencrest deskless operating playbook, brand PIP completion, and labor and cost controls through stabilization. Operational disruption, talent loss, or technology failure could reduce returns.
Each hotel SPE is expected to be leveraged at 55–65% loan-to-cost at acquisition. The Fund’s target exit strategies include refinancing, asset sale, or extended hold, subject to market conditions, lender appetite, property performance, and capital market availability. Adverse changes in interest rates, capital markets availability, DSCR requirements, or hotel capitalization rates could delay, prevent, or reduce the return of capital to LPs.
Fund I is offered in reliance on Rule 506(c) of Regulation D. Changes in securities, tax, or partnership law could alter the Fund’s structure, fees, or distributions. Allencrest cannot guarantee continued availability of 506(c) exemptions or carried-interest treatment under IRC Section 1061.
The Fund will engage affiliated service providers (Allencrest Hospitality Operations for hotel management; Allencrest Technology for the technology stack). Related-party terms are priced at arm’s length, supported by transfer-pricing documentation, and disclosed in the PPM. The GP retains sole discretion over investment and operational decisions subject to Investment Committee approval.
